1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (an individual or entity) and Zamorin Global ("we", "us", "our"), governing your access to and use of our website, software products (including but not limited to Echolink, Voicer, OneApp Queue Management, OneApp Digital Signage, Algus) and services (collectively, the "Services"). By using or accessing the Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.

2. Definitions

• "User", "you", "your" refers to you as a user of the Services.
• "Service Content" includes all text, images, code, software, modules, integrations and other materials provided by us.

5. Accounts, Registration & Security

If you register for an account, you are responsible for safeguarding your credentials, maintaining integrity of your access, and for any activities using your account. Notify us immediately if you suspect unauthorized use. We may suspend or terminate access if we believe your account is compromised or you violate these Terms.

6. Service Content, Intellectual Property & License

All intellectual property rights in the Services and Service Content are owned by us (or our licensors). Nothing in these Terms grants you any ownership rights. You are granted a licence to use the Services as permitted, and you agree not to copy, modify, distribute, create derivative works of, or reverse engineer any part of the Services, except as authorised by us.

If you submit content to us (feedback, suggestions), you grant us a worldwide, royalty-free, transferable licence to use and implement such content.

7. Fees, Payment & Subscription

Where applicable, you agree to pay all fees specified in your service agreement or order. All payments are due by the date specified. We may suspend or terminate access for non-payment. We reserve the right to change fees or billing methods upon notice. Refunds, if any, will be handled as per the applicable agreement.

8. Termination & Suspension

We may suspend or terminate your access immediately if you breach these Terms, engage in prohibited conduct or misuse the Services. On termination, all rights granted to you end. You must cease using the Services and destroy all copies of related materials. Certain provisions (e.g., disclaimers, limitation of liability) survive termination.

9. Disclaimers

The Services are provided "as-is" and "as-available". We make no warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, uptime or accuracy of outputs. We do not guarantee the Services will be uninterrupted, error-free or completely secure.

10. Limitation of Liability

To the maximum extent permitted by law, our total liability under or in connection with these Terms shall not exceed the aggregate fees you have paid to us in the twelve (12) months prior to the claim. We shall not be liable for any indirect, incidental, special, consequential or punitive damages, loss of profits, data or business interruption, even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend and hold harmless Zamorin Global, its affiliates, officers, employees and agents from any claim, demand, loss or damage (including reasonable legal fees) arising out of or related to your use of the Services, violation of these Terms or violation of applicable law.

Each party shall keep confidential all non-public information disclosed by the other party that is marked "confidential" or reasonably understood to be confidential, and shall not use it for any purpose other than performance of the Services.

13. Data Protection & Privacy

Your use of personal data is subject to our Privacy Policy. By accepting these Terms you also agree to our data-processing practices as set out in that policy.

14. Third-Party Services & Links

The Services may include links or integrations with third-party services. We do not control and are not responsible for the practices of such services. Use of them is at your own risk.

15. Modifications to Terms

We may update these Terms from time to time. We will notify you by posting the updated version, and your continued use of the Services after such notice constitutes acceptance of the revised Terms.

16. Governing Law & Dispute Resolution
